Draft for review. This document describes the operating expectations and disclaimers of the Lulu service as designed and built. It has not been reviewed by counsel. The final version posted at launch may differ in wording, jurisdiction-specific clauses, and the named legal entity. Use this draft to understand the rules of the network; do not rely on it as a binding contract.

1. What Lulu is

Lulu is a private, invite-only AI connector for the music and creator industry. Membership is by vouch only. The service operates entirely via WhatsApp (with SMS fallback). There is no app, no public directory, no member-to-member messaging within Lulu — Lulu introduces members and steps out.

2. Membership

Membership is granted at the discretion of the Lulu curator(s). A vouch from an existing member starts the process. Final approval rests with the curator. Approval can be withdrawn at any time, at the curator's discretion, for the reasons described in Section 5.

Eligibility. You must be at least 18 years old to be a member of Lulu. We may ask for verification if there is reasonable doubt and may end membership where eligibility cannot be confirmed.

Carrier charges. Lulu operates over WhatsApp and SMS. Your mobile carrier may charge you for messages or data used in your conversations with Lulu. Lulu does not reimburse carrier charges.

3. How introductions work

Lulu chooses introductions based on her judgment of fit. Members may tell Lulu what they're looking for; members may not direct Lulu to introduce them to specific named people.
Every introduction is double opt-in. Contact information is exchanged only when both parties accept.
If either party declines, the proposed counterparty is not informed of the decline or the decliner's identity.
Lulu is not a party to any deal, conversation, or relationship that follows an introduction. After contact exchange, members are responsible for their own interactions.
The seven-day outcome follow-up is for matching-quality calibration. Your response is structured into our internal data; the other party is not shown your text response, only that an outcome was captured.

4. What you agree to as a member

Honesty. Represent your role, career stage, and work accurately. Misrepresentation is grounds for removal.
Respect the introduction context. Use introductions for the professional purpose for which they were made. Do not repurpose introductions for unrelated cold pitching, mass marketing, or extraction.
Respect counterparty time. Do not spam other members after an introduction with unsolicited follow-ups beyond the intro context. One declined follow-up is one too many.
Privacy. Lulu's membership is confidential. You may mention your own membership privately. You may not publicly post about Lulu's membership, name other members publicly, or otherwise disclose the network's membership without permission.
No harassment. Any form of harassment, abuse, or threatening conduct toward another member is grounds for immediate removal.
Vouch responsibly. Vouch in people you would professionally recommend, not just people you know. A pattern of low-fit vouches lowers your vouching cap.

5. Grounds for removal

The curator may pause or remove a member for any of the following:

Misrepresentation of role, career stage, or work.
Spamming other members after introductions.
Using introductions for cold pitching outside the introduction's scope.
Public disclosure of the network's existence or membership without permission.
Harassment, abuse, or threatening conduct.
Persistent inactivity combined with repeated declines — this is bandwidth management, not punishment, and members may be reinstated.

Borderline behaviors receive a private warning from the curator before any removal. Removal is silent on the outside but communicated to the member directly.

6. What Lulu does not promise

Lulu does not guarantee any specific introduction, deal, outcome, or career result.
Lulu does not vet the legal, financial, or professional standing of any member beyond the curator review process.
Lulu does not arbitrate disputes between members. If two members have a professional disagreement, Lulu's role is hands-off.
Lulu does not take a percentage of any deal, fee, or arrangement that may result from an introduction. The service is free to members.
Lulu does not invest in members' companies, take equity, or affiliate with any fund vehicle. Lulu is a connector, not an investor.

7. Industry customers (Phase 2+)

Brands and labels may pay for access to submit creative briefs to the network. Member opt-in is required for every brief introduction. The matching engine has no awareness of which members are tied to paying customers. Industry customers do not receive your contact information or profile unless you opt in to their specific brief.

8. Intellectual property

You retain all rights to your work, your bio, your links, and anything else you share with Lulu. By using Lulu, you grant the Lulu operating entity a limited license to use this information solely to operate the service — match you with other members, send you introductions, and improve the matching system.

The Lulu name, wordmark, sigil, and product design are owned by the Lulu operating entity.

9. AI use disclosure

Lulu is an AI. Conversations with Lulu are processed by large language models operated by Anthropic through Vercel's AI Gateway. Lulu's responses are AI-generated; the system prompt and matching intelligence are designed and maintained by humans. Human curators review high-stakes match proposals and all new member profiles.

AI conversations are not legally binding. Nothing Lulu says in a conversation — including any apparent promise, commitment, offer, representation, or agreement — creates a binding obligation on the Lulu operating entity. Only written agreements signed by an authorized representative of the operating entity (contactable at legal@hilulu.ai) are enforceable against us. Any attempt to interpret an AI conversation as a contract, side letter, warranty, or commitment is void.

10. Liability

To the maximum extent permitted by law, the Lulu operating entity is not liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of the service or from any introduction made through the service. The service is provided "AS IS" and "AS AVAILABLE"without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or the success or value of any introduction. Connections, introductions, and the matching engine's judgments are provided without guarantee of any specific outcome.

11. Termination

You may end your membership at any time by telling Lulu or emailing privacy@hilulu.ai. We may end your membership for the reasons described in Section 5. On termination, your data is handled according to the Privacy Policy.

12. Changes to these terms

We may update these terms as the product evolves. Material changes will be announced to active members via WhatsApp at least 30 days before they take effect. Continued use of the service after the effective date of a material change constitutes acceptance. Where applicable law requires renewed consent for a specific change, we will obtain it before the change applies to you.

13. Governing law

These terms are governed by the laws of (final jurisdiction pending) without regard to its conflict of laws principles.
